Terms of Service.

These Terms of Service ("Terms") are issued by MOMI AI S.r.l. ("MOMI", "we", "us"), an Italian innovative startup with registered office at Via Luigi Galvani 24, 20124 Milano (MI), Italy. VAT number: IT14583970968 · Tax ID (Codice Fiscale): 14583970968. Contact: info@momi-ai.com.

These Terms govern (a) your use of this website (momi-ai.com) and (b) the MOMI service: the AI concierge platform that hotels license from us, including the WhatsApp guest assistant, the staff dashboard, and the optional Voice add-on (together, the "Service"). By browsing the site or using the Service you accept these Terms.

Hotels license the Service under a signed service agreement (order form plus these Terms and a Data Processing Agreement). If a signed agreement conflicts with these Terms, the signed agreement prevails.

MOMI connects a hotel's WhatsApp Business Account to a MOMI-managed number via the WhatsApp Business Cloud API and answers guest messages on the hotel's behalf using AI, escalating to hotel staff when needed. Staff manage conversations, requests, and settings in the MOMI dashboard.

WhatsApp is a product of Meta Platforms. A guest's use of WhatsApp itself is governed by WhatsApp's own terms and privacy policy. MOMI is an independent company and is not affiliated with, sponsored, or endorsed by Meta.

• The Service is offered to businesses (hotels and hospitality operators), not to consumers. You confirm you are at least 18 and authorised to bind the business you represent.
• Account information you give us must be accurate and kept up to date.
• Keep your dashboard credentials confidential. You are responsible for activity under your account; tell us immediately at info@momi-ai.com if you suspect unauthorised use.

• The Service is priced at €1.20 per occupied room, per night, plus a one-time setup fee of €500. Voice is a paid add-on, priced separately in your order.
• Prices exclude VAT and any applicable taxes, which are added at the statutory rate.
• Invoicing schedule and payment terms are set in your service agreement. Late payments accrue interest as provided by Italian Legislative Decree 231/2002.

When using the Service, you agree not to:

• use it for unlawful, misleading, or harmful content or activity, or to send spam or unsolicited marketing;
• breach WhatsApp's Business Messaging, Business, or Commerce Policies that apply to your WhatsApp Business Account;
• send messages to people without the consents or legal bases required from your guests;
• interfere with, probe, or disrupt the Service, or attempt to reverse-engineer it except where the law allows;
• resell or sublicense the Service outside a signed agreement with us.

We may suspend the Service, after notice where practicable, if your use breaches this section, puts the platform or other customers at risk, or Meta requires it.

How personal data is handled is described in our privacy policy — including the dedicated WhatsApp Service policy — and in the Data Processing Agreement each hotel signs. For guest conversations, the hotel is the data controller and MOMI acts as data processor. Step-by-step deletion instructions are published at momi-ai.com/data-deletion.

• MOMI and its licensors retain all rights to the Service, the software, the site, and the MOMI brand. Your agreement gives you a limited, non-exclusive, non-transferable licence to use the Service for your hotel's operations during the term.
• You retain all rights to your data and content (hotel information, knowledge-base content, guest conversations). You grant us the licence needed to host and process it solely to provide the Service.

The Service depends on third parties we do not control — in particular Meta / WhatsApp (the messaging channel) and the AI model providers listed in the privacy policy. Their availability, terms, and pricing may change, and we may substitute equivalent providers. We are not responsible for outages or changes on their side, though we will work to mitigate their impact.

Assistant replies are generated by AI and, despite our safeguards, may occasionally be inaccurate or incomplete. The hotel remains responsible for the information it publishes to guests through the Service (prices, availability, policies) and for reviewing escalations. The Service does not provide legal, medical, or other professional advice.

• We provide the Service with professional skill and care and target high availability, but — unless your agreement includes a specific SLA — we do not guarantee uninterrupted or error-free operation. Planned maintenance is announced in advance where practicable.
• To the maximum extent permitted by Italian law, the site is provided as is, and our aggregate liability under these Terms is limited to the fees you paid us in the 12 months preceding the event giving rise to liability.
• Nothing in these Terms excludes or limits liability for wilful misconduct or gross negligence (Art. 1229 of the Italian Civil Code) or any other liability that cannot be limited by law.

The Service term, renewal, and termination rights are set in your service agreement. Either party may terminate for material breach not cured within 30 days of written notice. On termination we stop processing and delete or return your data as set out in the Data Processing Agreement, subject to legal retention duties.

When we update these Terms we change the "last updated" date at the top of this page. For material changes affecting an active service agreement, we give hotels advance notice by email; continued use after the effective date constitutes acceptance.

These Terms are governed by Italian law. Any dispute is subject to the exclusive jurisdiction of the Courts of Milan, Italy — without prejudice to any mandatory protections granted by the law of your country of residence.
